1、科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台服務(wù)内容
科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台,為(wèi)了大型企业通过简单的平台注册即将本企业内的多(duō)套系统数据进行汇总及平台性的统一管理(lǐ),同时优化与供应商(shāng)的关系、交易。除此之外,通过平台进行交易数据的抓取、分(fēn)析,作為(wèi)供应商(shāng)数据及权限的屏蔽‘墙’,实现企业与供应商(shāng)间关系的增值飞跃。
2、条款生效
以任何方式进入科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台网站即表示您自愿同意并且已经与深圳科(kē)信、EFORE、EFORE TELECOM(THAILAND)通信技术股份有(yǒu)限公司订立本协议,您已经知悉本协议的各项条款和/或条件,且您承诺您有(yǒu)权订立和履行本协议,自订立本协议之日起本协议即生效,本协议即成為(wèi)对您构成合法、有(yǒu)效、有(yǒu)约束力及可(kě)执行的协议,您自愿接受本协议的条款和/或条件(以下简称“条款”)的约束。深圳科(kē)信、EFORE、EFORE TELECOM(THAILAND)通信技术股份有(yǒu)限公司可(kě)随时自行全权决定更改“条款”,您应在第一次登录后仔细阅读修订后的“条款”,并有(yǒu)权选择停止或继续使用(yòng)“服務(wù)”;一旦您继续使用(yòng)“服務(wù)”,则表示您已接受经修订的“条款”,当您与深圳科(kē)信、EFORE、EFORE TELECOM(THAILAND)通信技术股份有(yǒu)限公司发生争议时,应以最新(xīn)的服務(wù)协议為(wèi)准。除另行明确声明外,任何使“服務(wù)”范围扩大或功能(néng)增强的新(xīn)内容均受本协议约束。除非经深圳科(kē)信、EFORE、EFORE TELECOM(THAILAND)通信技术股份有(yǒu)限公司的授权高层管理(lǐ)人员签订书面协议,本协议不得另行作出修订。
3、科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台的客户主體(tǐ)资格
科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台的“服務(wù)”仅供依法注册成立且在公司登记机关登记的具备法人资格的独立企业法人使用(yòng),并且该企业必须依法注册為(wèi)本网站的会员。如不符合本项条件,请勿使用(yòng)“服務(wù)”。深圳科(kē)信、EFORE、EFORE TELECOM(THAILAND)通信技术股份有(yǒu)限公司可(kě)随时自行全权决定拒绝向任何人士提供“服務(wù)”。“服務(wù)”不会提供给被暂时或永久中止资格的科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台会员。
4、注册义務(wù)
如您在科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台网站注册,您同意:(a) 根据会员注册页面所刊载的会员资料表格的要求,提供关于贵公司的真实、准确、完整和反映当前情况的资料(包括但不限于企业营业执照、组织机构代码证及税務(wù)登记证等文(wén)件);(b) 维持并及时更新(xīn)会员资料,使其保持真实、准确、完整和反映当前情况。倘若您提供任何不真实、不准确、不完整或不能(néng)反映当前情况的资料,或深圳科(kē)信、EFORE、EFORE TELECOM(THAILAND)通信技术股份有(yǒu)限公司有(yǒu)合理(lǐ)理(lǐ)由怀疑该等资料不真实、不准确、不完整或不能(néng)反映当前情况,深圳科(kē)信、EFORE、EFORE TELECOM(THAILAND)通信技术股份有(yǒu)限公司有(yǒu)权暂停或终止您的注册身份及资料,并拒绝您在目前或将来对“服務(wù)”(或其任何部分(fēn))以任何形式使用(yòng)。如您代表一家公司或其他(tā)法律主體(tǐ)在本公司登记,则您声明和保证,您有(yǒu)权使该公司或其他(tā)法律主體(tǐ)受本协议“条款”约束。
5、会员注册名、密码
在登记过程中,平台将以系统邮件形式向您提供会员注册名和密码。您须自行负责对您的会员注册名和密码保密,且须对您在会员注册名和密码下发生的所有(yǒu)活动承担责任。您同意:(a) 如发现任何人未经授权使用(yòng)您的会员注册名或密码,或发生违反保密规定的任何其他(tā)情况,您会立即通知深圳科(kē)信、EFORE、EFORE TELECOM(THAILAND)通信技术股份有(yǒu)限公司;及 (b) 确保您在每个上网时段结束时,以正确步骤离开网站。深圳科(kē)信、EFORE、EFORE TELECOM(THAILAND)通信技术股份有(yǒu)限公司不能(néng)也不会对因您未能(néng)遵守本款规定而发生的任何损失或损毁负责。
6、科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台仅為(wèi)提供科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云務(wù)的平台
本公司网站仅作為(wèi)科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台服務(wù)的平台。但是,本公司不能(néng)保证您提供各项信息的真实性、准确性、完整性;亦不能(néng)控制您信息的安全或合法性以及其他(tā)各方登陆本网站履行相关义務(wù)的能(néng)力。本公司不能(néng)也不会控制相关方能(néng)否履行协议义務(wù)。此外,您应注意到由于硬盘损毁、网络黑客等技术原因导致您上传至本网站的信息损毁的风险是客观存在的。
7、您的资料
“您的资料”包括您在注册、上传过程中、在任何公开信息场合或通过任何電(diàn)子邮件形式,向本公司或其他(tā)用(yòng)户提供的任何资料,包括数据、文(wén)本、软件、音乐、声响、照片、图画、影像、词句或其他(tā)材料。您应对“您的资料”负全部责任,而本公司仅作為(wèi)您在网上发布和刊登“您的资料”的被动渠道。但是,倘若本公司认為(wèi)“您的资料”可(kě)能(néng)使本公司承担任何法律或道义上的责任,或可(kě)能(néng)使本公司(全部或部分(fēn)地)失去本公司的互联网服務(wù)供应商(shāng)或其他(tā)供应商(shāng)的服務(wù),或您未在科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台规定的期限内登录或再次登录网站,则本公司可(kě)自行全权决定对“您的资料”采取本公司认為(wèi)必要或适当的任何行动,包括但不限于删除该类资料。您应保证提交科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台的素材、对科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台“服務(wù)”的使用(yòng)及使用(yòng)科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台“服務(wù)”所产生的成果未侵犯任何第三方的合法权益。如有(yǒu)第三方基于侵犯版权、侵犯第三人之权益或违反中國(guó)法律法规或其他(tā)适用(yòng)的法律等原因而向深圳科(kē)信、EFORE、EFORE TELECOM(THAILAND)通信技术股份有(yǒu)限公司提起索赔、诉讼或可(kě)能(néng)向其提起诉讼,则您应赔偿深圳科(kē)信、EFORE、EFORE TELECOM(THAILAND)通信技术股份有(yǒu)限公司因此承担的费用(yòng)或损失,并使深圳科(kē)信、EFORE、EFORE TELECOM(THAILAND)通信技术股份有(yǒu)限公司完全免责。如果第三方机构或个人对您使用(yòng)科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台“服務(wù)”及其相关素材的知识产权归属提出质疑或投诉,您有(yǒu)责任出具相关知识产权证明材料,并配合深圳科(kē)信、EFORE、EFORE TELECOM(THAILAND)通信技术股份有(yǒu)限公司相关投诉处理(lǐ)工作。您特此保证,您对提交给科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台的“您的资料”拥有(yǒu)全部权利,包括全部版权。您确认,科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台没有(yǒu)责任去认定或决定您提交给本公司的资料哪些是应当受到保护的,对享有(yǒu)“服務(wù)”的其他(tā)用(yòng)户使用(yòng)“您的资料”,本公司也不必负责。
您同意,“您的资料”:a. 不会有(yǒu)欺诈成份,与售卖伪造或盗窃无涉;b. 不会侵犯任何第三方对该资料享有(yǒu)的物(wù)权,或版权、专利、商(shāng)标、商(shāng)业秘密或其他(tā)知识产权,或隐私权、名誉权;c. 不会违反任何法律、法规、条例或规章(包括但不限于关于规范出口管理(lǐ)、贸易配额、保护消费者、不正当竞争或虚假广告的法律、法规、条例或规章);d. 不会含有(yǒu)诽谤(包括商(shāng)业诽谤)、非法恐吓或非法骚扰的内容;e. 不会含有(yǒu)淫秽、或包含任何儿童色情内容;f. 不会含有(yǒu)蓄意毁坏、恶意干扰、秘密地截取或侵占任何系统、数据或个人资料的任何病毒、伪装破坏程序、電(diàn)脑蠕虫、定时程序炸弹或其他(tā)電(diàn)脑程序;g. 不会直接或间接与下述各项货物(wù)或服務(wù)连接,或包含对下述各项货物(wù)或服務(wù)的描述:(i) 本协议项下禁止的货物(wù)或服務(wù);或 (ii) 您无权连接或包含的货物(wù)或服務(wù)。
此外,您同意不会:在与任何连锁信件、大量胡乱邮寄的電(diàn)子邮件、滥发電(diàn)子邮件或任何复制或多(duō)余的信息有(yǒu)关的方面使用(yòng)“服務(wù)”;(i) 未经其他(tā)人士同意,利用(yòng)“服務(wù)”收集其他(tā)人士的電(diàn)子邮件地址及其他(tā)资料;或利用(yòng)“服務(wù)”制作虚假的電(diàn)子邮件地址,或以其他(tā)形式试图在发送人的身份或信息的来源方面误导其他(tā)人士。除科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台明示许可(kě)外,不得修改、翻译、改编、出租、转许可(kě)、在信息网络上传播或转让科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台提供的软件,也不得逆向工程、反编译或试图以其他(tā)方式发现科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台提供的软件的源代码。若的“服務(wù)”涉及第三方软件之许可(kě)使用(yòng)的,您同意遵守相关的许可(kě)协议的约束。除科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台明示同意外,不将所購(gòu)买的“服務(wù)”或其中的部分(fēn)如磁盘空间等再次出售或出租;不建立或利用(yòng)有(yǒu)关设备、配置运行与所購(gòu)“服務(wù)”无关的程序或进程,导致大量占用(yòng)科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台云计算资源(如云服務(wù)器、网络带宽、存储空间等)所组成的平台(以下简称“云平台”)中服務(wù)器内存、CPU或者网络带宽资源,给科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台或者科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台的其他(tā)用(yòng)户的网络、服務(wù)器(包括但不限于本地及外地和國(guó)际的网络、服務(wù)器等)、产品/应用(yòng)等带来严重的负荷,影响科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台与國(guó)际互联网或者科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台与特定网络、服務(wù)器及科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台内部的通畅联系,或者导致科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台平台产品与服務(wù)或者科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台的其他(tā)用(yòng)户网站所在的服務(wù)器宕机、死机或者用(yòng)户基于云平台的产品/应用(yòng)不可(kě)访问等;不进行任何破坏或试图破坏网络安全的行為(wèi)(包括但不限于钓鱼,黑客,网络诈骗,网站或空间中含有(yǒu)或涉嫌散播:病毒、木(mù)马、恶意代码,及通过虚拟主机对其他(tā)网站、主机进行涉嫌攻击行為(wèi)如扫描、嗅探、ARP欺骗、DOS等);不进行任何改变或试图改变科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台提供的系统配置或破坏系统安全的行為(wèi);不从事其他(tā)违法、违约或违反科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台规则的行為(wèi)。如科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台发现您违反上述条款的约定,有(yǒu)权根据情况采取相应的处理(lǐ)措施,包括但不限于立即终止服務(wù)、中止服務(wù)或删除相应信息等。您对自己行為(wèi)(如自行安装的软件和进行的操作)所引起的结果承担全部责任。您对自己存放在科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台平台上的数据以及进入和管理(lǐ)科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台平台上各类产品与服務(wù)的口令、密码的完整性和保密性负责。因您维护不当或保密不当致使上述数据、口令、密码等丢失或泄漏所引起的一切损失和后果均由您自行承担。您了解科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台无法保证其所提供的服務(wù)毫无瑕疵(如科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台安全产品并不能(néng)保证您的硬件或软件的绝对安全),但科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台承诺不断提升服務(wù)质量及服務(wù)水平。所以您同意:即使科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台提供的服務(wù)存在瑕疵,但上述瑕疵是当时行业技术水平所无法避免的,其将不被视為(wèi)科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台违约。您同意和科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台一同合作解决上述瑕疵问题。您对自己存放在科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台平台上的数据以及进入和管理(lǐ)科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台平台上各类产品与服務(wù)的口令、密码的完整性和保密性负责。因您维护不当或保密不当致使上述数据、口令、密码等丢失或泄漏所引起的一切损失和后果均由您自行承担。
8、您授予本公司的许可(kě)使用(yòng)权
您授予本公司独家的、全球通用(yòng)的、永久的、免费的许可(kě)使用(yòng)权利(并有(yǒu)权在多(duō)个层面对该权利进行再授权),使本公司有(yǒu)权(全部或部分(fēn))地使用(yòng)、复制、修订、改写、发布、翻译、分(fēn)发、执行和展示“您的资料”或制作其派生作品,和/或以现在已知或日后开发的任何形式、媒體(tǐ)或技术,将“您的资料”纳入其他(tā)作品内。
9、隐私
保护用(yòng)户隐私是科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台的原则。科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台保证不对外公开或向第三方提供用(yòng)户注册的企业的资料,及用(yòng)户在使用(yòng)服務(wù)时存储的非公开内容,但下列情况除外:事先获得用(yòng)户的明确授权;按照相关司法机构或政府主管部门的要求。请注意,您一旦自愿地在科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台交易地点披露“您的资料”,该等资料即可(kě)能(néng)被其他(tā)人士获取和使用(yòng)。
10、保密
保密资料指由一方向另一方披露的所有(yǒu)技术及非技术信息(包括但不限于产品资料,产品计划,价格,财務(wù)及营销规划,业務(wù)战略,客户信息,客户数据,研发,软件硬件,API应用(yòng)数据接口,技术说明,设计,特殊公式,特殊算法等)。
本协议任何一方同意对获悉的对方之上述保密资料予以保密,并严格限制接触上述保密信息的员工遵守本条之保密义務(wù)。除非國(guó)家机关依法强制要求或上述保密资料已经进入公有(yǒu)领域外,接受保密资料的一方不得对外披露。
本协议双方明确认可(kě)各自用(yòng)户信息和业務(wù)数据等是各自的重要资产及重点保密信息。本协议双方同意尽最大的努力保护上述保密信息等不被披露。一旦发现有(yǒu)上述保密信息泄露事件,双方应合作采取一切合理(lǐ)措施避免或者减轻损害后果的产生。
本条款不因本协议的终止而失效。
11、终止或访问限制
您同意,在科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台未向您收费的情况下,科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台可(kě)自行全权决定以任何理(lǐ)由(包括但不限于科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台认為(wèi)您已违反本协议的字面意义和精神,或您以不符合本协议的字面意义和精神的方式行事,或未经科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台同意,将科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台用(yòng)于其他(tā)商(shāng)业目的,或您在超过90天的时间内未以您的账号及密码登录网站)单方面中断或终止向您提供“服務(wù)”而无需通知您,即终止您的“服務(wù)”密码、账户(或其任何部分(fēn))或您对“服務(wù)”的使用(yòng),并删除和丢弃您在使用(yòng)“服務(wù)”中提交的“您的资料”。您同意,在科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台向您收费的情况下,科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台应基于合理(lǐ)的怀疑且经電(diàn)子邮件通知的情况下实施上述终止服務(wù)的行為(wèi)。科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台同时可(kě)自行全权决定,在发出通知或不发出通知的情况下,随时停止提供“服務(wù)”或其任何部分(fēn)。您同意,根据本协议的任何规定终止您使用(yòng)“服務(wù)”之措施可(kě)在不发出事先通知的情况下实施,并承认和同意,科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台可(kě)立即使您的账户无效,或撤销您的账户以及在您的账户内的所有(yǒu)相关资料和档案,和/或禁止您进一步接入该等档案或“服務(wù)”。账号终止后,科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台没有(yǒu)义務(wù)為(wèi)您保留原账号中或与之相关的任何信息,或转发任何未曾阅读或发送的信息给您或第三方。此外,您同意,科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台不会就终止您接入“服務(wù)”而对您或任何第三者承担任何责任。第11、14、15、16和22各条应在本协议终止后继续有(yǒu)效。
如因系统维护或升级的需要而需暂停网络服務(wù)、服務(wù)功能(néng)的调整,科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台将尽可(kě)能(néng)事先在网站上进行通告。
12、违反条款的后果
在不限制其他(tā)补救措施的前提下,发生下述任一情况,本公司可(kě)立即发出警告,暂时中止、永久中止或终止您的会员资格,删除您的任何现有(yǒu)信息,以及您在网站上展示的任何其他(tā)资料:(i) 您违反本协议;(ii) 本公司无法核实或鉴定您向本公司提供的任何资料;或 (iii) 本公司相信您的行為(wèi)可(kě)能(néng)会使您、本公司用(yòng)户或通过本公司或本公司网站提供服務(wù)的第三方服務(wù)供应商(shāng)发生任何法律责任。在不限制任何其他(tā)补救措施的前提下,倘若发现您从事涉及本公司网站的诈骗活动,科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台可(kě)暂停或终止您的账户。
13、服務(wù)“按现状”提供
本公司不能(néng)随时预见到任何技术上的问题或其他(tā)困难。该等困难可(kě)能(néng)会导致数据损失或其他(tā)服務(wù)中断。為(wèi)此,您明确理(lǐ)解和同意,您使用(yòng)“服務(wù)”的风险由您自行承担。科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台明确声明不作出任何种类的所有(yǒu)明示或暗示的保证,包括但不限于关于安全性、适用(yòng)于某一特定用(yòng)途和无侵权行為(wèi)等方面的保证。科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台对下述内容不作保证:(i)“服務(wù)”会符合您的要求;(ii)“服務(wù)”不会中断,且适时、安全和不带任何错误;(iii) 通过使用(yòng)“服務(wù)”而可(kě)能(néng)获取的结果将是准确或可(kě)信赖的;及 (iv) 您通过“服務(wù)”而获取的任何其他(tā)服務(wù)、资料或其他(tā)材料将符合您的预期。通过使用(yòng)“服務(wù)”而下载或以其他(tā)形式获取任何材料是由您自行全权决定进行的,且与此有(yǒu)关的风险由您自行承担,对于因您下载任何该等材料而发生的您的電(diàn)脑系统的任何损毁或任何数据损失,您将自行承担责任。您从科(kē)信、EFORE、EFORE TELECOM(THAILAND)SRM云平台或通过或从“服務(wù)”获取的任何口头或书面意见或资料,均不产生未在本协议内明确载明的任何保证。
本协议任何一方违约均须依法承担违约责任。
